These Terms of Use (“Terms“) govern your access to and use of bellwellhealth.com (the “Site“) and the services offered by BellWell Health, LLC (“BellWell,” “we,” “us,” or “our”). By using the Site or engaging our services, you agree to these Terms. If you do not agree, do not use the Site or engage our services.

Section 01

Who we are and what we do

BellWell Health, LLC is a California limited liability company providing non-clinical patient advocacy, healthcare navigation, and care coordination. We help clients understand their options, prepare for appointments, write and submit appeals, coordinate with providers and insurers, and reduce friction in complex healthcare situations.

We are not a medical practice, a law firm, a financial advisory firm, or an insurance broker. The scope of any engagement is defined in a separate written agreement.

Not medical, legal, or financial advice

The Site is provided for general informational purposes. The Site and our services do not provide medical, legal, financial, tax, accounting, or any other form of professional advice. You are responsible for seeking the advice of a qualified, licensed professional as needed.

The information on the Site, and any guidance we provide during an engagement, is not medical advice, diagnosis, or treatment, and should not be treated as a substitute for qualified medical advice, diagnosis, or treatment. Always seek the advice of a physician or other qualified health care provider with any questions about a medical condition or treatment, and before making any healthcare decision. Never disregard or delay seeking medical advice because of something you read on the Site or because of guidance you receive from BellWell.

BellWell is not a law firm. We do not provide legal advice or legal representation. No attorney-client relationship is formed between you and BellWell. For legal matters, consult a licensed attorney.

BellWell does not provide financial, tax, accounting, or investment advice. For financial matters, consult a licensed CPA, financial advisor, or other qualified professional.

Section 03

No guarantee of outcomes

Outcomes in healthcare, insurance, and adjacent processes are determined by third parties, including providers, insurers, government agencies, and courts. BellWell does not guarantee any specific result, including approval of an insurance claim or appeal, coverage of a service, access to a particular provider, reduction of a medical bill, or any other outcome. You understand and accept that our role is to assist, navigate, coordinate, and advocate, and that we cannot promise a specific outcome.

Section 04

Eligibility

You must be 18 years of age or older and a resident of the United States to use the Site or engage our services. By using the Site or engaging our services, you represent that you meet these eligibility requirements.

Section 05

Engagement terms

Any engagement to provide services is governed by a separate written agreement that defines scope, fees, term, cancellation, and other commercial terms. In the event of a conflict between these Terms and an engagement agreement, the engagement agreement controls for the engagement it covers.

Section 06

Acceptable use of the site

You agree not to:

• Use the Site in a way that violates any applicable law.
• Attempt to gain unauthorized access to any part of the Site or to any account, system, or network connected to the Site.
• Scrape, harvest, or otherwise collect information from the Site by automated means.
• Interfere with the proper operation of the Site, including by introducing viruses or other harmful code.
• Impersonate any person or misrepresent your affiliation with any person or entity.
• Use the Site to harass, threaten, defame, or harm any person.

Intellectual property

The Site and its content, including text, graphics, logos, the BellWell name and marks, and the structure and organization of the Site, are the property of BellWell or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may view and use Site content for personal, non-commercial purposes only. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written permission.

The Site may contain links to third-party websites. We do not control or endorse third-party websites and we are not responsible for their content, accuracy, or privacy practices. Your use of any third-party website is at your own risk.

Section 09

Disclaimer of warranties

The Site and our services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. BellWell disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Section 10

Limitation of liability

To the maximum extent permitted by law, BellWell, its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or other intangible losses, arising out of or relating to your use of the Site or our services.

To the maximum extent permitted by law, BellWell’s total cumulative liability for all claims arising out of or relating to these Terms or your use of the Site will not exceed the greater of (a) the fees you paid to BellWell in the twelve months preceding the event giving rise to the claim, or (b) one hundred dollars ($100).

Indemnification

You agree to indemnify, defend, and hold harmless BellWell, its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or relating to (a) your use of the Site in violation of these Terms or any law, (b) your breach of any representation, warranty, or obligation under these Terms, or (c) your misuse of any information obtained through the Site or our services.

Section 12

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. The provisions of these Terms that by their nature should survive termination will survive, including Sections 2, 3, 7, 9, 10, 11, 13, and 14.

Section 13

Governing law and dispute resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Before initiating any legal action, the parties will first attempt to resolve any dispute through good-faith mediation in Los Angeles County, California, with a mediator mutually selected by the parties or, if they cannot agree, with a mediator appointed by JAMS or AAA. The parties will share the cost of the mediator equally. If mediation does not resolve the dispute within sixty (60) days, either party may file a claim in a state or federal court located in Los Angeles County, California, and the parties consent to the exclusive jurisdiction of those courts.

Section 14

Limitation period

Any claim arising out of or relating to these Terms or the Site must be brought within one (1) year after the cause of action arises, except where a longer limitation period is required by applicable law.

Section 15

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the Effective Date at the top of this page and provide notice through the Site, by email, or by other means consistent with applicable law. Your continued use of the Site after the Effective Date constitutes acceptance of the updated Terms.

Section 16

General provisions

Entire agreement.

These Terms, together with the Privacy Policy and any separate written engagement agreement, constitute the entire agreement between you and BellWell regarding your use of the Site and our services.

Severability.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment.

You may not assign your rights or obligations under these Terms. We may assign our rights and obligations to a successor in connection with a merger, acquisition, or sale of assets.

Force majeure.

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, government action, labor dispute, or failure of public utility or third-party service provider.

Electronic communications.

By using the Site or engaging our services, you consent to receive electronic communications from us, including by email, in connection with your use of the Site and our services. You agree that electronic communications satisfy any legal requirement that those communications be in writing.
